This Membership Agreement (the “Agreement”), dated as of [•] (the “Effective Date”), is entered into by and between The Knoble Inc., a Georgia not-for-profit corporation (“TK”), and [MEMBER] (the “Member” and together with TK, the “Parties” and each, a “Party”), in consideration of the mutual promises set forth below:

• Term. The term of this Agreement shall commence on the Effective Date and continue for an initial period of 12 months.
• Membership Fee. The Member shall pay to TK a monetary fee in the amount of $1,000 (the “Membership Fee”), which shall be payable immediately via credit card.  The Membership Fee paid to TK shall be nonrefundable and may be used by TK for any purpose that furthers its mission of protecting vulnerable populations.
• Member Benefits. TK shall provide the Member with TK network directory access, TK network resources and access to TK Member Center.
• Miscellaneous. The Agreement may not be modified or amended except in writing signed by both Parties. 
• Governing Law. The Agreement shall be governed by, and construed in all respects in accordance with the internal laws of the State of Georgia (without giving effect to Georgia’s principles of conflicts of law).
