By submitting this application, Applicant acknowledges and agrees to the following terms and conditions:

  1. No Guarantee or Commitment: Submission of this application does not commit Strados Labs, Inc. to supply any goods or services to Applicant.  Applicant acknowledges that if accepted for a grant, Applicant will have to enter into a formal written agreement with Strados Labs that governs the terms and conditions of that grant.
  2. No Warranty on Study Outcomes: Strados Labs makes no representations or warranties, express or implied, regarding the use of the RESP device in relation to any research study outcomes. The RESP device may only be used for its intended purposes.  The RESP device is not appropriate for use in all studies.
  3. Compliance: In applying for this grant, Applicant and their research team acknowledge that they are solely responsible for ensuring compliance with all applicable laws, regulations, and ethical guidelines including, but not limited to, those related to import and export controls, health and human services, and medical devices.  Applicant also affirms that neither Applicant nor their research team are aware of any current of potential conflicts of interest that could arise with regard to their participation in a Strados Labs grant.
  4. Authority: Applicant affirms that they are over the age of 18 and have authority to enter into an agreement for a grant on behalf of their research team and/or study program.
  5. Confidentiality: Confidential Information refers to information about Applicant and/or Strados Labs that is not generally known outside of that entity and which is learned of in connection with this application, including, but not limited to: (1) business and marketing plans, analyses, strategies, and programs; (2) financial statements, analyses, budgets and projections; (3) employer, employee and contractor lists and records; (4) business methods, business rules, and operating and production procedures; (5) pricing, sales data, prospect, and customer lists and information related to actual, intended or prospective customers; (6) supplier and vendor lists and information; (7) terms of commercial contracts; (8) technical data, engineering and scientific research, creative designs and concepts, web designs, trade secrets and know-how, devices, products, computer programs, specifications, manuals, software, algorithms, programming techniques, inventions, unpublished patent applications, drawings, hardware and software configuration information, statistics, analyses, and strategies; and (9) all other proprietary information or trade secrets of a party. Both Applicant and Strados Labs agree to and shall use reasonable efforts to keep Confidential Information confidential and, except as authorized by the other party, neither party shall, directly or indirectly, use Confidential Information for any reason except with regard to evaluating this application. These restrictions shall not apply to any Confidential Information that: (a) is or becomes available to the public through no fault of either party; (b) was previously known by both parties; (c) is received from a third-party free to disclose such information without restriction; (d) is independently developed without the use of the Confidential Information; (e) is approved for release in writing by the other party; (f) is required by law or regulation to be disclosed, but only to the extent and for the purposes of such required disclosure and only after providing the other party with a timely opportunity to object to such disclosure.
